SDL Desktop Translator Terms and Conditions

SDL Sheffield Ltd ("SDL") provides the subscription service site ("Site") as a value added service to the free translations provided from the FreeTranslation.com website. Use of the subscription service is conditional upon your acceptance of the terms and conditions set forth below, as they may be amended from time to time, and constitutes a legally binding agreement ("Agreement") between you and SDL. By paying a subscription for the added value service, you accept those terms and conditions without limitation.

  1. This subscription service is for personal and commercial use. However, whilst you are permitted to incorporate the translations generated through the Site into documents or materials for business purposes, you are not permitted to license, sell, resell any translated information or materials obtained through the Site.

  2. If you have subscribed for quarterly or annual periods, SDL will continue to take subscriptions from your account at your chosen quarterly or annual intervals until you cancel your subscription. If you have subscribed for three years, no further payments will be taken from your account and your subscription will expire 3 years from the date of payment. A full refund will be given in the event that a cancellation is received by SDL, using the website referred to in the following section, within 7 days of initial purchase subject to the software not having been used. If the software has been used no refund will be given hereunder.

  3. In the event of a cancellation during a current subscription period (other than within 7 days of initial purchase) any cancellation will only be effective from the next renewal date following receipt by SDL of the cancellation notice.   4. Payment of the subscription entitles you to:

    1. A software copy of the SDL Desktop Translator Toolbar.
    2. Use of the toolbar allowing up to a maximum of 50 translations per day for the period of the current subscription payment. The limit will be reset at midnight GMT daily.
    3. A maximum file size for a single translation of 800 Kbytes.
    4. A maximum word count for a single translation of up to 20,000 words.

  5. While SDL uses reasonable efforts to provide accurate translations and related information, SDL assumes no liability or responsibility for errors, omissions or ambiguities in the translations or other information provided by the Site. In no event is SDL liable for any damages whatsoever arising out of your use of the Site or the content thereof, including direct, indirect, incidental, consequential or punitive damages.

  6. Without limiting any of the foregoing, the content and services of the Site are provided "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Certain jurisdictions do not permit the exclusion of implied warranties and the foregoing exclusions may not apply to you.

  7. You represent and warrant to SDL that the text or other materials submitted by you to SDL, and the translation of that text or other materials by SDL, does not and will not

    1. infringe any third party's copyright, trademark, or other proprietary rights or right of publicity or privacy;
    2. violate any applicable law, statute, ordinance or regulation;
    3. be defamatory or libellous;
    4. be lewd, pornographic or obscene;
    5. violate any laws, including any laws regarding unfair competition, discrimination, or false advertising;
    6. promote violence or contain hate speech; or
    7. contain viruses, Trojan horses, worms, time bombs, cancelbots, or other similar harmful or deleterious programming routines.

    Further, you agree that you will hold harmless and indemnify SDL and its affiliates from and against violation of your representations hereunder, including any infringement of the copyrights or other intellectual property or other rights of any person or entity or other unlawful activity arising out of the translation or transmission by SDL of any text or other materials provided by you to SDL.

    Without limiting the foregoing, SDL specifically reserves the right to decline to provide services with respect to any text or other materials for any reason whatsoever.

  8. SDL has not reviewed all of the websites that may be linked to the Site, and specifically disclaims responsibility for the content of any such linked sites.

  9. All disclaimers, indemnities and exclusions shall survive termination of this Agreement for any reason.

  10. This Agreement is governed by and construed in accordance with English Law. Any disputes shall be subject to the exclusive jurisdiction of the English Courts.
